General conditions

• The following general conditions apply to all contracts between the Client and the agency THE BALI BRAND CONNECT (hereinafter: THE BALI BRAND CONNECT), for completed projects, orders, offers, deliveries, benefits and other services.
• THE BALI BRAND CONNECT provides services in the areas of providing contacts with manufacturers from Bali and export, graphic design, internet marketing, web design, programming, sales, and organization. All agreements concluded in connection with the conclusion of the Agreement derive from these terms, the description of the service, and separate agreements. No benefits are owed that do not derive from the Agreement.
• The version of the terms and conditions that is valid at the time of the conclusion of the Agreement is relevant.
• The Client’s general conditions do not become part of the Agreement, even if there are no written objections. They are only acknowledged if expressly approved by THE BALI BRAND CONNECT.

Conclusion of the Agreement and information

•  General offers are subject to change and non-binding.
• The contract is considered concluded if, after THE BALI BRAND CONNECT’s offer or cooperation agreement, the Client confirms the offer or cooperation agreement in writing, and/or the work has started with mutual consent. To maintain the written form, an explanation via email is sufficient within the overall contractual relationship, unless the parties agree otherwise. Telephone arrangements must be confirmed in writing.
• The basis for the work of THE BALI BRAND CONNECT is a cooperation agreement.
• Prices are calculated according to the valid price list of THE BALI BRAND CONNECT at the time of conclusion of the Agreement and are valid exclusively for the services stipulated in the Agreement. If, in the meantime, the Client has a need for new THE BALI BRAND CONNECT services, which are not contractually defined, their price will be calculated according to the price list valid at the given time.
• The execution of rights and obligations begins on the day when both contracting parties signed the Agreement.

Agency services and deadlines

•  THE BALI BRAND CONNECT owes the implementation of the ordered services according to the project description and within the framework defined by the Agreement. If additional costs arise due to different requests and changes to the agreed services at the request of the Client, these costs are borne by the Client.
• On behalf of THE BALI BRAND CONNECT, services can be arranged with the Client only by authorized persons or other persons expressly appointed by authorized persons.
• The deadline for execution must always be stated in writing and marked as binding. THE BALI BRAND CONNECT is obliged to perform the services in a timely manner.
• THE BALI BRAND CONNECT is not responsible for a delay in the delivery of services caused by force majeure or the Client’s failure to deliver the necessary material and other instructions necessary to the Agency for the delivery of the contracted service on time.

Obligation of cooperation and responsibility of the Client

•  The client will provide THE BALI BRAND CONNECT in writing with all the necessary data, information and instructions necessary for the implementation of the contracted services. The client is responsible for the accuracy of this data.
• If the Client sees that the provided data, information and instructions are incorrect, incomplete, ambiguous or not feasible, he must immediately inform THE BALI BRAND CONNECT about this and the possible consequences.
• The client appoints one or more contact persons and their deputies for communication with THE BALI BRAND CONNECT, who are responsible for executing the contractual relationship and/or are authorized to make decisions.
• The contracting parties or their contact persons regularly communicate and report on progress and obstacles in the execution of the Contract.
• The client undertakes that during the implementation of the contractual project and 60 months after the end of the project, it will not hire personnel employed by THE BALI BRAND CONNECT or any partner with whom THE BALI BRAND CONNECT cooperates, either directly or indirectly, without prior consultation with THE BALI BRAND CONNECT.

Fee

• All THE BALI BRAND CONNECT services are subject to a fee, unless expressly agreed otherwise in writing. The amount of compensation is determined according to individually concluded contracts. The price list of THE BALI BRAND CONNECT applies, which is valid at the time of concluding the Agreement.
• Additional services required by the Client, which are not defined in the Agreement, are paid separately.
• All prices are expressed in US dollars.
• In the event of a change in the legal sales tax, THE BALI BRAND CONNECT has the right to adjust the fees/prices of products/services from the moment the new law enters into force.
• THE BALI BRAND CONNECT is not obliged to provide contractual services or activate contractual services before receiving payment, unless otherwise expressly agreed in the Agreement with the user.

Incidental, special, and additional costs

• The client bears all additional costs incurred after the performance of contractual services, unless otherwise defined by the Agreement.
• The client is obliged to pay all third-party costs required for the performance of the contractual services and, if necessary, to THE BALI BRAND CONNECT and provide the appropriate power of attorney on behalf and for the account of the customer. If THE BALI BRAND CONNECT prepays costs to a third party or gives an advance, those costs must be reimbursed by THE BALI BRAND CONNECT to the Client.
